1. Definitions and Identity
  • Service Provider: Masters of Media, located at Zwolle, registered with the Chamber of Commerce under number 32117268.
  • Customer: The natural or legal person who enters into an agreement with the Service Provider.
  • Service: The activities or services that the Service Provider will perform within the scope of the agreement.
2. Applicability
2.1 These General Terms and Conditions apply to all offers, proposals, and agreements between the Service Provider and the Customer.
2.2 Deviations from these terms and conditions are only valid if explicitly agreed upon in writing beforehand.
3. Formation of the Agreement
3.1 The agreement is formed at the moment the Customer accepts the offer from the Service Provider and meets the conditions set therein.
4. Execution of the Service
4.1 The Service Provider will execute the services to the best of their knowledge and ability, and in accordance with the requirements of good workmanship.
4.2 The Customer shall ensure that all data and information, which the Service Provider indicates are necessary, are provided in a timely manner.
5. Rates and Payment
5.1 All stated rates are in Euros and are [exclusive / inclusive] of VAT.
5.2 Payment must be made within [e.g., 14] days of the invoice date, in the manner specified by the Service Provider.
5.3 In the event of late payment, the Customer is legally in default. The Customer will then owe statutory interest.
6. Liability
6.1 The Service Provider is solely liable for direct damages resulting from a demonstrable failure to fulfill the agreement.
6.2 The liability of the Service Provider is limited to the amount paid out by the liability insurance in the relevant year, increased by the deductible amount (own risk).
7. Force Majeure
7.1 In the event of force majeure (such as illness of the specialist, power outages, or government measures), the Service Provider is not obliged to fulfill any obligation towards the Customer.
8. Intellectual Property
8.1 All intellectual property rights regarding the delivered products and services remain the property of the Service Provider.
9. Complaints and Disputes
9.1 Complaints about the work performed must be reported to the Service Provider in writing within [e.g., 14 days] of discovery, and no later than [e.g., 30 days] after completion of the work.
9.2 All agreements are exclusively governed by Dutch law.
10. Availability and Maintenance (Uptime & Onderhoud)
10.1 The Service Provider aims to ensure maximum availability of the online service but does not guarantee uninterrupted access.
10.2 The Service Provider reserves the right to temporarily suspend the service for maintenance, updates, or improvements, with prior notice whenever possible.
10.3 The Service Provider is not liable for any damages resulting from temporary service interruptions or data loss.
11. User Accounts and Security
11.1 The Customer is responsible for maintaining the confidentiality of their account login credentials.
11.2 The Customer is fully responsible for all activities that occur under their account.
11.3 The Customer must notify the Service Provider immediately of any unauthorized use of their account.
